合资公司的形成原因：合资公司在石油公司非常常见，并常以一家本国公司与一家外国公司（其中 3/4 是国际企业）合作的形式成立。借由这样的合作形式，本国公司可以获得它所不足的技术设备，而外国公司也可利用本国公司对该国的熟悉与政治关系。

一般来说，两家公司合作并成立合资公司的原因如下：政府的鼓励或法令政策，基于当地政府的鼓励或法令限制，例如印度政府及限制国外公司在当地的持股最多只能到40%，而关税政策也是国外公司借由与当地公司合作成立合资公司的原因。进入国外市场，例如丰田汽车与通用汽车合作成立的新联合汽车制造公司中，丰田汽车取得进入美国市场的实际知识，而通用汽车则取得丰田汽车的技术与管理方法。

合资公司的失败原因：据研究发现，公司之间有 30% 到 61% 的机率无法谈成合资公司的合作关系，或是所成立的合资公司在五年内就失败了（Osborn，2003）。此外，在低开发国家的合资公司也较不稳定，而与当地政府合作的合资公司的失败机率也较大，似乎与私有企业对企业经营的实际知识的掌握较成熟有关。另外在需求与生产技术快速变动的情形下也较容易失败。
