Background and Framework: The Company maintains several equity plans that permit awards in foreign jurisdictions, including the 2007 Equity Incentive Plan, 2007 ESPP Plan and 2012 Inducement Award Plan. In order to comply with the China requirements under Circular 7, which regulates the flow of funds for purchase and sale of shares pursuant to equity plans, there is a requirement that non-Chinese companies obtain approval by the country’s State Administration of Foreign Exchange (“SAFE”) in order to offer employees equity awards to PRC nationals in China.

Resolved that: The Committee hereby approves and permits participation the above named equity plans by Eligible Employees who are Chinese nationals, and adopts such procedures that are required under SAFE or other local requirements and authorizes the officers or legal counsel of the Company to amend, change or modify the form of RSU or Stock Option Grant Notice, Agreement or Notice of Exercise, and/or ESPP documents and procedures as necessary or advisable to comply in all respects with the local laws of such jurisdiction, and any changes thereto made by any officers in his/her discretion and all related governmental filings are hereby authorized, ratified, confirmed and approved.

决议如下：委员会特此批准并允许具有中国国籍的合格雇员参与上述股权计划，正式通过国家外汇管理局所要求的上述程序或其他当地要求，并授权公司高级职员或法律顾问对RSU、股票期权授予通知、执行协议或通知的格式和/或员工购股计划（ESPP）文件或程序做出必要或合理的修正、变更或修改以便在所有方面都遵守该辖区的当地法律，高级职员对此自行决定做出的任何变更以及所有相关的政府文件存档都经过授权、批准、确认及审批。
